The Political Economy of Petroleum Contracts: Nature of Law in Energy Governance Based on Institutional Game Theory

Abstract
Though Iran may lay claim to a storied history of petroleum contracts, it continues to wrestle with the formidable problem of devising and executing efficient and enduring arrangements. The present inquiry, drawing upon the framework of institutional game theory and the political economy of law, undertakes an examination of the triadic interplay between state capacity, societal capacity, and the nature of law in the emergence of governance equilibria. It advances the proposition that the architecture of petroleum contracts is nothing less than the outward expression of a deeper institutional balance. The analytical model proceeds in two movements. In the first, it contemplates the interaction between state and society through the lens of capacity equations, revealing that the form of governance, ranging from market self-regulation to assertive state oversight, is a function of the relative strength of these two bodies. In the second, it elevates the nature of law to the status of an independent variable, one that decisively orients the trajectory of institutional equilibrium within the broader governance matrix. The findings suggest that durable governance necessitates a delicate equipoise: a state possessed of regulatory strength and a society endowed with the means to assert and articulate its interests. Absent such a balance, the institutional seesaw tips inexorably toward one of two extremes: anarchic disarray under a weakened state, or centralized despotism under an enfeebled society. The law, in this setting, serves a dual function. In a short-term society, it may act as an instrument to curb social volatility; conversely, where the state is short-term or fragmented, legal pluralism and participatory legislation can constitute a bulwark against authoritarianism. Accordingly, the evolution of contractual patterns, from buy-back schemes to concessionary models and production-sharing agreements, maps directly onto the prevailing institutional equilibrium among state, society, and the law. Where equilibrium prevails, contracts such as IPCs and production-sharing agreements emerge, bearing the hallmark of hybrid governance. But under conditions of imbalance, the scales tilt: either state prerogatives are eroded, as in concessionary contracts, or the climate for investment deteriorates, as is typical of buy-back arrangements. Hence, the task of contractual policymaking must transcend the confines of pure economic and legal analysis, or even the narrow calculus of political expedience, and be reconstituted within a political economy of law paradigm anchored in institutional balance.
